1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PlanOS, operated by Mood Photo & Video ("PlanOS," "we," "our," or "us"), governing your access to and use of the PlanOS platform, including the website at getplanos.com and the application at app.getplanos.com (collectively, the "Service").
By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
You must be at least 18 years old to use PlanOS. By using the Service, you represent that you are 18 or older.
2. Description of Service
PlanOS is a cloud-based software-as-a-service (SaaS) platform designed for wedding and event planning professionals. The Service enables users to:
- Create and manage detailed event timelines for client weddings and events
- Coordinate vendors through filtered itineraries and automated communication tools
- Manage client information, event details, and business workflows
- Export branded, white-label PDF documents and timelines
- Integrate with Google Calendar and Gmail to sync events and send client communications
- Access templates for various event types, including multicultural ceremonies
- Manage day-of coordination from a mobile-optimized interface
PlanOS is intended for professional use by wedding planners, event coordinators, and planning studios. The Service is not a consumer product and is not intended for personal, family, or household use.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.
3. Account Registration & Responsibilities
Registration
To access the full features of PlanOS, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as necessary to keep it accurate.
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials (username and password)
- All activities that occur under your account
- Notifying us immediately at support@getplanos.com if you suspect unauthorized access to your account
You must not share your account credentials with any third party. Each subscription covers use by a single user unless you are on the Studio plan, which includes multiple named team seats.
Business Use
You agree to use PlanOS exclusively for legitimate professional business purposes. You represent that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including any laws governing the collection and handling of your clients' personal information.
Accurate Business Information
You agree to provide accurate information about your business, including your business name, contact details, and billing information. False or misleading information may result in termination of your account.
4. Subscriptions & Payments
Plans
PlanOS offers the following subscription tiers:
- Free Plan — Limited access to core features with a 1-client limit. No payment required.
- Solo Plan — Full access for independent planners, billed monthly or annually. Includes a 14-day free trial.
- Studio Plan — Full access with team seats for planning studios, billed monthly or annually. Includes a 14-day free trial.
Current pricing is displayed at getplanos.com/#pricing and within the app. We reserve the right to change pricing with at least 30 days' advance notice.
Billing
All paid subscriptions are billed through Stripe. By providing a payment method, you authorize us to charge the applicable fees on a recurring basis (monthly or annually, depending on your selected plan). Subscriptions automatically renew unless cancelled before the renewal date.
Free Trial
Paid plans include a 14-day free trial. You will not be charged until the trial period ends. If you cancel before the trial ends, you will not be charged. A payment method may be required to start the trial.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@getplanos.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends. We do not provide prorated refunds for partial billing periods, except as required by applicable law.
Money-Back Guarantee
We offer a 30-day money-back guarantee on first-time paid subscriptions. If you are unsatisfied with PlanOS within the first 30 days of your first paid subscription period, contact us at support@getplanos.com and we will issue a full refund, no questions asked.
Taxes
All fees are exclusive of applicable taxes. You are responsible for any taxes, levies, or duties applicable to your subscription in your jurisdiction.
Failed Payments
If a payment fails, we will attempt to notify you and retry the charge. If payment remains outstanding after a reasonable period, we may downgrade or suspend your account until payment is resolved.
5. Google Integrations
PlanOS integrates with Google Calendar and Gmail via Google's OAuth 2.0 protocol. Connecting your Google account is optional and requires your explicit consent through Google's authorization flow.
Authorization
When you connect your Google account to PlanOS, you grant PlanOS permission to access the following Google services on your behalf:
- Google Calendar — PlanOS will read your calendar events to display them within the PlanOS dashboard. This helps you view upcoming client events alongside your planning workflow.
- Gmail (Send) — PlanOS will send emails to your clients and vendors from your Gmail account when you explicitly trigger email sends within the app (e.g., sending a vendor itinerary or client timeline). PlanOS will not read your inbox or send any emails without your explicit action.
Your Responsibilities for Google Data
By connecting your Google account, you represent and warrant that:
- You have the authority to grant PlanOS access to your Google account
- You will use PlanOS's Gmail send functionality only for legitimate business communications related to your event planning services
- You will not use the Gmail send functionality to send spam, unsolicited commercial email, or communications that violate applicable laws (including CAN-SPAM and CASL)
- You are solely responsible for the content of emails sent through your Gmail account via PlanOS
Revoking Access
You may disconnect your Google account from PlanOS at any time through your account settings. You may also revoke PlanOS's access directly at myaccount.google.com/permissions. Upon disconnection, all stored Google OAuth tokens will be deleted from our systems.
Google's Terms
Your use of Google services in connection with PlanOS is also subject to Google's Terms of Service. PlanOS is not responsible for changes to Google's APIs or terms that affect the availability of these integrations.
6. Prohibited Uses
You agree not to use PlanOS to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe the intellectual property rights of any third party
- Upload, transmit, or distribute any malware, viruses, or other malicious code
- Attempt to gain unauthorized access to PlanOS systems, other users' accounts, or related networks
- Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written consent
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or otherwise commercialize access to PlanOS without our written permission
- Use the Service in any way that imposes an unreasonable or disproportionately large load on our infrastructure
- Collect or harvest personal information of other users without their consent
- Send spam, unsolicited messages, or fraudulent communications through any PlanOS integrations
- Use PlanOS for any purpose other than legitimate wedding and event planning business operations
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity
Violation of these prohibitions may result in immediate termination of your account and, where applicable, referral to law enforcement authorities.
7. Your Content
Ownership
You retain full ownership of all content, data, and materials you upload to or create within PlanOS ("Your Content"), including client information, event timelines, templates, and documents. These Terms do not transfer any intellectual property rights in Your Content to PlanOS.
License to PlanOS
By uploading or creating content in PlanOS, you grant us a limited, non-exclusive, royalty-free license to host, store, process, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account.
Your Responsibilities
You are solely responsible for Your Content and the lawfulness of collecting and processing your clients' personal information within PlanOS. You represent and warrant that:
- You have obtained all necessary consents to collect and process your clients' data
- Your Content does not infringe any third party's intellectual property or privacy rights
- Your Content complies with all applicable laws, including data protection and privacy laws
Data Portability
You may export Your Content at any time through the app's export functions. Upon account deletion, we will provide a reasonable window for you to export your data before it is permanently deleted.
8. Intellectual Property
The PlanOS platform, including its software, design, user interface, features, functionality, and all related documentation, is owned by PlanOS (Mood Photo & Video) and is protected by copyright, trademark, trade secret, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in or to the PlanOS platform, our trademarks, logos, or brand features. You may not use our trademarks or branding without our prior written consent.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you or maintain confidentiality.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLANOS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Service will be uninterrupted, error-free, or completely secure
- Defects or errors will be corrected
- The Service or the servers that make it available are free of viruses or other harmful components
- Results obtained through use of the Service will be accurate or reliable
We make no warranty regarding the availability of third-party integrations, including Google Calendar and Gmail APIs, which are subject to change or discontinuation by their respective providers.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLANOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall our total cumulative liability arising out of or related to these Terms or your use of the Service exceed the greater of: (a) the total fees paid by you to PlanOS in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100).
The limitations in this section apply to all claims, whether based on warranty, contract, tort (including negligence), strict liability, statute, or any other legal or equitable theory, and whether or not PlanOS has been informed of the possibility of such damage.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless PlanOS, its officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, judgments, awards, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service, including any emails sent through Gmail integrations
- Your Content, including any claim that Your Content infringes a third party's rights
- Your violation of any applicable law or the rights of any third party
- Your clients' data and any obligations you have to them under applicable privacy laws
12. Termination
By You
You may terminate your account at any time by cancelling your subscription and deleting your account through the app settings, or by contacting support@getplanos.com.
By PlanOS
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:
- You materially breach these Terms
- You engage in conduct that we determine, in our sole discretion, is harmful to PlanOS, other users, or third parties
- You fail to pay fees when due after reasonable notice
- We are required to do so by law or a lawful governmental order
Effect of Termination
Upon termination, your right to access and use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimer of warranties, limitation of liability, indemnification, and governing law — will survive termination.
Following account deletion, we will retain your data for 30 days to allow for recovery in case of accidental deletion, after which it will be permanently deleted in accordance with our Privacy Policy.
13. Governing Law & Disputes
Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Dispute Resolution
Before filing any formal legal claim, you agree to first contact us at support@getplanos.com and attempt to resolve the dispute informally. We will use good faith efforts to resolve the dispute within 30 days of receiving notice.
Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by a mutually agreed-upon arbitration service, conducted in Los Angeles County, California. The arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Jurisdiction
For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
14. Changes to These Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the "Effective Date" at the top of this page
- Send an email notification to the email address associated with your account
- Display a prominent notice within the PlanOS app
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
For minor, non-material changes (such as typo corrections or clarifications that do not affect your rights), we may update the Terms without individual notice, though the Effective Date will always reflect the most recent revision.
